The agreement covering your use of Alakili: what you get, what stays yours, what we are responsible for and what you are.

Who this agreement is between
These terms govern your use of Alakili, the logistics operating software for Amazon Delivery Service Partners described on this site. The contracting Alakili entity, the fees, the term and the governing law are stated in the order form you sign. Where the order form and these terms disagree, the order form wins.
You accept these terms by signing an order form, by creating a workspace, or by using the product. If you are accepting on behalf of a company, you confirm you are able to bind it.

What you get
A workspace holding one or more stations, for the number of seats on your order form, together with the abilities described on our platform page as they exist at the time. We add and change abilities; we will not remove one you depend on without telling you first.
Access is granted to named people. Seats are not shared logins, and an account used by more than one person is the one thing most likely to make an audit trail useless to you when you need it.

Your data stays yours
Everything you put into Alakili, and everything the product derives from it, remains yours. We process it to run the service for you and for nothing else. We do not sell it, we do not use it to train models, and we do not use one customer’s data to serve another.
You can export your workspace data at any time while your subscription is live. See our data retention and deletion policy for what happens after it ends.

Amazon data and the browser extension
Our browser extension reads roster, associate and fleet exports from the Amazon session you are already signed in to, in your own browser. We do not ask for, receive or store your Amazon credentials, and we do not sign in to Amazon on your behalf.
You are responsible for holding the Amazon access you use and for complying with your own agreements with Amazon. Alakili is not affiliated with, endorsed by or sponsored by Amazon.

Your responsibilities
You decide who has access and what each role may do. You are responsible for the accuracy of what you put in, for the lawfulness of processing the personal data of your associates, and for the decisions you take using the product.
Alakili flags and refuses. It does not employ, schedule or discipline anyone. A compliance flag is information for a person to act on, not a substitute for the judgment of whoever runs your station.

Availability
We aim to keep the service available at all times and we publish incidents on our status page. Planned maintenance is scheduled outside the load-out window wherever we can, and we give notice when it cannot be.
Where your order form carries a service level commitment, that commitment and its remedies are the ones that apply.

Fees
Fees, billing period and seat count are on your order form. Invoices are payable within the period it states. We may suspend access for an account that is materially overdue, after telling you and giving you a chance to fix it.
You can change your plan and your seats from within the product. A change takes effect on the next billing period unless the order form says otherwise.

Ending it
Either side can end the agreement at the end of a term by giving the notice the order form requires. Either side can end it immediately for a material breach the other has not fixed within thirty days of being told about it.
On termination your access stops and your data is handled under the data retention and deletion policy. Nothing is deleted before the export window in that policy has passed.

Liability
Nothing here excludes liability that cannot lawfully be excluded. Subject to that, neither side is liable for indirect or consequential loss, and each side’s total liability is capped at the fees paid or payable in the twelve months before the claim.
That cap is the ordinary allocation of risk for software of this kind. If your operation needs a different one, raise it before signing rather than after.

Changes to these terms
We will post a revised version here with a new date, and tell account owners by email before a material change takes effect. Continuing to use the product after that date is acceptance. If you do not accept, you can end the agreement under the clause above.
